(dalej „Beneficjent”)
Zostaliśmy poinformowani, że odpowiadając na Państwa zaproszenie do składania ofert w związku z
przetargiem nr 2/DT/2014 na "dostawę dwóch (2) sztuk kontenerowych suwnic nabrzeżowych dla
Gdynia Container Terminal S.A.”, firma [………………….] , zwana dalej „Oferentem”, złożyła Państwu ofertę, a Państwa warunki określone w Szczegółowych Warunkach Zamówienia (dalej „SWZ")
przewidują, że zostanie wystawiona gwarancja bankowa na wadium w wysokości EUR 150 000,00.
W związku z powyższym, my, [pełna nazwa i adres banku], niniejszym nieodwołalnie gwarantujemy
wypłacić każdą kwotę do łącznej wysokości nieprzekraczającej:
EUR 150 000,00
(słownie: sto pięćdziesiąt tysięcy Euro)
na Państwa pierwsze pisemne żądanie poparte pisemnym oświadczeniem (zawartym w samym żądaniu zapłaty albo w odrębnym dokumencie lub dokumentach dołączonych do żądania) wskazującym,
że pomimo iż oferta Oferenta została wybrana, wystąpiła jedna z poniższych okoliczności:
- Oferent odmówił podpisania umowy dla zamówienia na warunkach określonych w ofercie,
- Oferent nie wniósł wymaganego zabezpieczenia należytego wykonania umowy,
- Zawarcie umowy dla zamówienia stało się niemożliwe z przyczyn leżących po stronie Oferenta.
Ze względów identyfikacyjnych Państwa żądanie zapłaty z gwarancji musi być nam przesłane przez
Państwa Bank, wraz z jego potwierdzeniem, że osoby podpisane na tym żądaniu są do tego upoważnione.
Państwa żądanie zapłaty winno być przesłane na adres naszej siedziby [……………….].
Niniejszą gwarancję należy zwrócić, gdy tylko przestanie obowiązywać.
Gwarancja wygasa, nawet jeśli dokument niniejszy nie zostanie nam zwrócony, w dniu 06.05.2015r.
o ile przed upływem tego dnia nie otrzymamy Państwa pisemnego zawiadomienia, zgodnie z wymienionymi warunkami, o wystąpieniu Państwa roszczenia. Gwarancja wygasa także w przypadku zwrotu niniejszego dokumentu przed terminem, o którym mowa wyżej.
Przelew wierzytelności z gwarancji jest możliwy wyłącznie za naszą pisemną zgodą.
Niniejsza gwarancja jest egzekwowalna i wykonalna na terenie Rzeczpospolitej Polskiej, podlega
prawu polskiemu, a w sporach związanych z gwarancją wyłącznie właściwy jest Sąd Powszechny
właściwy dla siedziby Beneficjenta.

(hereinafter referred to as: the "Beneficiary")
We have been informed that in response to your invitation to tender in connection with the tender
proceedings no. 2/DT/2014 for "the supply of two (2) units of ship-to-shore gantry cranes", the company [……….…..…..] , hereinafter referred to as the "Tenderer" has made an offer, and your conditions set out in the Detailed Order Conditions (the "DOC") provide for the issue of a bank guarantee
for the bid bond in the amount of EUR 150 000,00.
Therefore we, [full name and address of bank] hereby irrevocably guarantee to pay any amount not
exceeding the total combined amount of:
EUR 150 000,00
(say: one hundred fifty thousand Euro)
on your first written request supported by a written statement (included in the request for payment or
in a separate document or documents accompanying the request) indicating that despite the Tenderer's
offer being chosen, one of the following circumstances has occurred:
- the Tenderer refused to sign the agreement on the terms specified in the offer,
- the Tenderer failed to provide a performance bond,
- signing of the agreement was impossible for reasons attributable to the Contractor.
For reasons of identification your request for payment of the guarantee must be sent to us by your
Bank along with its confirmation that the persons signing the request are authorized to do so.
Your request for payment must be sent to our registered office […………………].
This guarantee should be returned as soon as it ceases to have effect.
The guarantee expires, even if this document is not returned to us, on 06.05.2015 unless, prior to the
end of this date, we receive your written notice, in accordance with the stipulated conditions, informing on your claim. The guarantee also expires if this document is returned before the above mentioned date.
The assignment of rights from this guarantee is possible only with our written permission.
This guarantee is enforceable in the Republic of Poland, it is subject to Polish law and disputes relating to the guarantee shall be settled by the common court with jurisdiction over the seat of the Beneficiary.
